-
Effective Date: April 30, 2026
Last Updated: April 30, 2026
These Terms of Service (the "Terms") govern your access to and use of Vidaloops, including our websites, applications, APIs, video generation tools, subscription plans, credit purchases, and related services (collectively, the "Service"). The Service is operated by Vidaloops, a business located in Quebec, Canada ("Company", "we", "us", or "our").
By creating an account, buying credits, starting a subscription, uploading content, generating videos, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.
Important: The Service uses artificial intelligence and third-party AI models to generate videos and related media. You are solely responsible for the prompts, images, files, data, and other materials you upload, and for the videos and other outputs you create, publish, download, sell, share, or otherwise use. We do not guarantee that any output is lawful, accurate, unique, non-infringing, safe for your intended use, or suitable for any particular purpose.
1. Definitions
"Input" means any prompt, image, video, audio, text, file, data, instruction, reference material, name, likeness, brand asset, or other material submitted to or through the Service.
"Output" means any video, image, animation, text, audio, metadata, rendering, variation, edit, or other material generated, modified, or returned by the Service, including through third-party AI models.
"User Content" means Inputs, Outputs, and any other content you upload, submit, create, publish, download, export, or share through the Service.
"Credits" means usage units that may be applied toward video rendering, AI model calls, processing, storage, and other Service features as described in the Service interface or applicable order page.
2. Eligibility and Accounts
You must be at least the age of majority in your jurisdiction, or have the consent and supervision of a parent or legal guardian where permitted by law, to use the Service. We may set higher age requirements for certain features.
You agree to provide accurate account, billing, and contact information, keep it current, and protect your login credentials. You are responsible for all activity under your account, whether or not authorized by you, except to the extent caused by our own breach of these Terms or applicable law.
You must notify us promptly at [email protected] if you believe your account has been compromised.
3. The Service
The Service allows users to create AI-generated videos and related media by submitting prompts, images, and other Inputs. The Service may include free features, paid subscriptions, credit-based usage, beta features, collaboration features, storage, exports, APIs, and integrations with third-party AI models or infrastructure providers.
We may modify, suspend, discontinue, limit, or replace any feature at any time, including available AI models, rendering settings, credit costs, usage limits, storage limits, and supported file types, subject to applicable law and any commitments expressly stated in a separate written agreement.
4. User Content Responsibility
You are solely responsible for your User Content and for all consequences of creating, uploading, processing, publishing, selling, distributing, displaying, or otherwise using it. This includes responsibility for determining whether your User Content is lawful in each jurisdiction where it is created, accessed, published, marketed, sold, distributed, or used.
You represent and warrant that:
- you own, control, or have obtained all rights, licenses, permissions, releases, and consents necessary to submit your Inputs and use your Outputs;
- your Inputs and Outputs do not and will not infringe, misappropriate, or violate any copyright, trademark, trade secret, patent, privacy right, publicity/personality right, moral right, contractual right, or other right of any person or entity;
- you have any required consent or lawful basis to use a person's image, likeness, voice, name, biometric information, personal information, or other identifying characteristics;
- your use of the Service and User Content complies with all laws, regulations, platform rules, advertising rules, disclosure obligations, and industry standards applicable to you;
- you will not represent that Output is human-created, authentic footage, or endorsed by any person or brand if that representation is false or misleading; and
- you will disclose AI-generated or synthetic content where required by law, contract, platform policy, or reasonable consumer-protection practice.
We do not pre-screen all User Content, and we are not responsible for User Content. We may, but are not obligated to, review, block, remove, label, restrict, report, or refuse to generate or host User Content that we believe may violate these Terms, applicable law, third-party rights, our policies, or the rights or safety of others.
5. Ownership and Rights in Inputs and Outputs
As between you and us, you retain the rights you have in your Inputs. Subject to these Terms, applicable law, third-party rights, third-party model terms, and your payment of applicable fees, we assign to you any transferable rights we may have in Outputs generated for you through the Service.
However, you understand and agree that:
- AI-generated Outputs may not be eligible for copyright or other intellectual property protection in every jurisdiction;
- Outputs may be identical or similar to content generated for other users or by other tools;
- we do not guarantee that any Output is unique, exclusive, registrable, protectable, commercially usable, or non-infringing;
- third-party rights may exist in or be implicated by your Inputs or Outputs, including rights in people, brands, locations, artwork, music, characters, styles, or source materials; and
- you are responsible for human review and legal clearance before using Outputs, especially for commercial, advertising, political, public-facing, or high-impact uses.
6. License You Grant to Us
You grant us a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, process, transmit, transform, display, perform, modify, create derivative technical works from, and otherwise use User Content as reasonably necessary to:
- provide, operate, maintain, secure, and improve the Service;
- process your prompts, images, files, and generation requests;
- send Inputs and related data to third-party AI models and infrastructure providers as needed to provide the Service;
- detect, prevent, and address abuse, fraud, security incidents, policy violations, and illegal activity;
- provide support, troubleshooting, refunds, credit adjustments, and account administration;
- comply with law, enforce these Terms, and respond to lawful requests; and
- use aggregated or de-identified data for analytics, benchmarking, performance monitoring, and product development.
We will handle personal information as described in our Privacy Policy. If we offer account settings or enterprise terms that restrict training or improvement uses, those settings or written terms will control for eligible accounts.
Do not upload confidential information, trade secrets, regulated data, or sensitive personal information unless you have the legal right to do so and your account plan or written agreement is appropriate for that use.
7. Prohibited Uses
You may not use the Service, Inputs, Outputs, or Credits to:
- violate any law or regulation, or encourage, facilitate, or conceal unlawful activity;
- infringe or violate intellectual property, privacy, publicity/personality, confidentiality, contractual, or other rights;
- create, upload, generate, or distribute child sexual abuse material, sexual exploitation of minors, non-consensual intimate imagery, or sexualized content involving minors;
- impersonate a person, brand, public figure, company, or government body in a deceptive, harmful, or unlawful manner;
- create deceptive deepfakes, fraud, scams, phishing, identity theft, forged evidence, fake endorsements, or misleading political, financial, legal, medical, or public-safety content;
- harass, threaten, defame, dox, abuse, exploit, or incite violence or hatred against any person or group;
- generate malware, exploit systems, bypass security, scrape without authorization, overload infrastructure, or interfere with the Service;
- use the Service for high-risk decisions or professional advice in areas such as employment, credit, housing, insurance, health care, legal matters, education, law enforcement, immigration, or access to essential services;
- reverse engineer, decompile, copy, resell, rent, lease, sublicense, benchmark for competitive purposes, or attempt to extract models, weights, prompts, source code, or non-public system information;
- use Outputs, Service data, or Service functionality to train, develop, or improve a competing AI model or service, except with our prior written consent or as required by applicable law; or
- circumvent usage limits, credit consumption, billing, safety systems, content filters, geographic restrictions, or account restrictions.
8. Third-Party AI Models, Providers, and Infrastructure
The Service may use third-party AI models, cloud providers, payment processors, file servers, content delivery networks, edge networks, analytics tools, and other service providers. Your Inputs, Outputs, account data, and usage data may be transmitted to, processed by, cached by, or stored with these providers as necessary to provide the Service.
Our primary business operations and most servers are located in Canada. File servers may be hosted in the United States, the United Kingdom, or other regions, and content may be distributed globally through edge servers or content delivery networks. By using the Service, you authorize these transfers and processing activities, subject to our Privacy Policy and applicable law.
Third-party AI models and infrastructure may fail, delay, throttle, reject, filter, alter, or produce unexpected results. We are not responsible for third-party services, models, outages, policies, terms, acts, omissions, or outputs, except to the extent required by applicable law or expressly agreed in writing.
9. Credits, Subscriptions, Billing, and Refunds
9.1 Plans and Purchases
You may access the Service through a free plan, a paid subscription that includes a monthly allocation of Credits, one-time Credit purchases, or other plans shown in the Service. Prices, features, usage limits, rendering speeds, model availability, and Credit costs may vary by plan and may change over time as permitted by law.
All fees are stated in the currency shown at checkout and are exclusive of applicable taxes unless otherwise stated. You are responsible for taxes, duties, and payment-processing charges associated with your purchases.
9.2 Subscriptions
If you purchase a subscription, you authorize us and our payment processors to charge your payment method on a recurring basis at the price and billing interval shown at checkout, plus applicable taxes, until you cancel. Unless otherwise stated, cancellation takes effect at the end of the current billing period, and you will retain access to the paid plan until then.
Unless your plan expressly states otherwise, monthly subscription Credits are issued for the applicable billing cycle, do not roll over, have no cash value, are not transferable, and expire or reset at the end of the billing cycle. Unused subscription Credits are not refundable except where required by law or expressly stated in a separate written agreement.
9.3 One-Time Credit Purchases
You may purchase Credits without a subscription where offered. Purchased Credits are not currency, stored value, a deposit account, or property; they are a limited contractual right to request eligible Service usage. Credits are not redeemable for cash, not transferable, and not refundable except where required by law or expressly stated by us in writing.
Purchased Credits remain available while your account is active, subject to these Terms, account limitations, fraud prevention, and applicable law. We may apply reasonable inactivity, abuse, security, or termination rules to Credits where permitted by law and disclosed in the Service or applicable policy.
9.4 Credit Consumption
Credits may be consumed when a generation request, render, model call, upscaling job, variation, storage operation, export, or other paid action is submitted, accepted, queued, processed, or completed, as described in the Service. Credit costs may depend on model, duration, resolution, quality, priority, complexity, processing time, retries, and third-party provider costs.
A generation result that is slow, aesthetically unsatisfactory, factually inaccurate, unexpected, filtered, watermarked, lower quality than expected, similar to another result, or unsuitable for your intended use is not necessarily a system error and does not automatically entitle you to a refund or Credit return.
9.5 Failed Jobs and Credit Adjustments
We use reasonable efforts to automatically return or adjust Credits for certain service-side technical failures, such as a render that fails due to our system error and produces no usable Output. However, AI rendering, third-party model calls, queues, and distributed infrastructure can fail for reasons outside our control.
Except where required by applicable law, we do not guarantee refunds, cash refunds, charge reversals, Credit returns, replacement Credits, or compensation for failed, delayed, interrupted, rejected, filtered, or degraded generation requests. We may, in our discretion, issue Credit adjustments for verified service-side errors. To request review, contact [email protected] within 30 days of the affected transaction and include the job ID, account email, date, and a description of the issue.
We are not responsible for lost or consumed Credits caused by user error, unsupported files, insufficient rights, policy violations, abusive usage, inaccurate prompts, network issues, device issues, payment issues, third-party model behavior, outages, force majeure events, account suspension, or uses that violate these Terms, except to the extent required by applicable law.
9.6 Chargebacks and Billing Disputes
If you believe you were charged in error, contact us promptly at [email protected]. We may suspend or restrict accounts associated with chargebacks, payment failures, fraud risk, or unpaid amounts, subject to applicable law.
10. Availability, Storage, and Data Loss
The Service is provided without any service-level commitment unless expressly stated in a separate written agreement. We do not guarantee uninterrupted, secure, timely, or error-free operation, or that User Content will always be available, preserved, recoverable, or exportable.
You are responsible for keeping independent backups of Inputs, Outputs, and other User Content. We may delete or make unavailable User Content due to account limits, storage limits, inactivity, termination, policy enforcement, legal compliance, system maintenance, or changes to the Service, subject to applicable law and any separate written agreement.
11. Content Moderation and Enforcement
We may investigate suspected violations of these Terms. We may suspend, restrict, or terminate accounts; block or remove User Content; refuse generation requests; withhold Credits associated with abuse or fraud; disable sharing links; report suspected illegal content; or take other action we consider reasonably necessary to protect users, third parties, the Service, or the public.
We may cooperate with law enforcement, regulators, rights holders, and affected parties where legally permitted or required.
12. Intellectual Property Complaints
If you believe content on the Service infringes your rights, contact [email protected] with:
- your name and contact information;
- a description of the work, right, or material you claim is infringed;
- the URL, job ID, account name, or other information reasonably sufficient to locate the content;
- a statement that you have a good-faith belief the use is not authorized by the rights holder, its agent, or the law;
- a statement that the information you provide is accurate and that you are the rights holder or authorized to act for the rights holder; and
- your physical or electronic signature.
We may remove or disable content alleged to infringe rights and may suspend or terminate repeat infringers where appropriate.
13. Privacy
Our collection, use, disclosure, retention, and protection of personal information is described in our Privacy Policy at https://www.development.vidaloops.com/en-US/user-privacy-policy. The Privacy Policy is incorporated into these Terms by reference.
You must not upload personal information or sensitive information about any person unless you have all rights, consents, notices, and lawful bases required to do so.
14. Beta Features
Some features may be labeled alpha, beta, preview, experimental, early access, or similar. Beta features are provided for testing, may change or be discontinued at any time, may be subject to additional limits, may produce unexpected results, and may not be covered by support, uptime, refund, or compatibility commitments.
15. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Service, Credits, Inputs processing, Outputs, AI models, third-party services, and all related features are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.
To the maximum extent permitted by applicable law, we disclaim all warranties and conditions, including warranties or conditions of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, availability, reliability, security, compatibility, and any warranties arising from course of dealing, usage, or trade practice.
We do not warrant that Outputs will meet your requirements, comply with law, be accepted by any platform, be commercially successful, be free of third-party rights, be free of harmful material, or be suitable for advertising, monetization, professional, political, public-facing, or commercial use.
16. Limitation of Liability
To the maximum extent permitted by applicable law, we and our affiliates, directors, officers, employees, contractors, agents, licensors, suppliers, payment processors, model providers, hosting providers, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or aggravated damages, or for any loss of profits, revenue, business, goodwill, opportunity, data, content, credits, expected savings, reputation, or use, whether based in contract, civil liability, tort, negligence, strict liability, statute, or any other legal theory, even if we were advised of the possibility of such damages.
To the maximum extent permitted by applicable law, our total aggregate liability for all claims arising out of or relating to the Service, these Terms, User Content, Outputs, Credits, subscriptions, purchases, or third-party services will not exceed the greater of: (a) the amounts you paid to us for the Service in the three months before the event giving rise to the claim; or (b) CAD $100.
These limits apply to all claims in the aggregate, including claims relating to system failures, rendering failures, lost Credits, unavailable Outputs, deleted User Content, third-party model failures, billing issues, account suspension, security incidents, and use or inability to use the Service.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for bodily or moral injury, or liability for material injury caused by intentional fault or gross fault, where Quebec law applies.
17. Indemnity
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless us and our affiliates, directors, officers, employees, contractors, agents, licensors, suppliers, payment processors, model providers, hosting providers, and service providers from and against any claims, demands, damages, losses, liabilities, fines, penalties, costs, and expenses, including reasonable legal fees, arising out of or relating to:
- your Inputs, Outputs, or other User Content;
- your use, publication, sale, distribution, display, export, or commercialization of Outputs;
- your breach of these Terms or any applicable policy;
- your violation of law or third-party rights, including intellectual property, privacy, publicity/personality, confidentiality, or consumer-protection rights;
- your failure to obtain required consents, licenses, permissions, releases, disclosures, or approvals;
- activity under your account, except to the extent caused by our own breach of these Terms or applicable law; and
- disputes between you and any third party relating to User Content, Outputs, your business, your customers, or your use of the Service.
18. Suspension and Termination
You may stop using the Service at any time and may cancel a subscription through the account settings or by contacting [email protected].
We may suspend, restrict, or terminate your access to the Service if you breach these Terms, fail to pay amounts due, create legal or security risk, misuse Credits, violate third-party rights, submit unlawful or harmful content, or use the Service in a way that may harm us, other users, third parties, or the public.
Upon termination, your right to use the Service ends immediately. We may delete User Content and account data after termination, subject to applicable law and our retention practices. Credits may be forfeited on termination for breach, fraud, abuse, or chargeback, except where prohibited by law.
19. Consumer Rights and Non-Excludable Protections
Some jurisdictions provide consumers with rights that cannot be waived, excluded, restricted, or limited by contract. Nothing in these Terms limits any non-waivable rights you may have under applicable consumer protection, privacy, language, civil liability, or other laws.
If you are a consumer in Quebec or another jurisdiction with mandatory consumer protections, the provisions of these Terms apply only to the extent permitted by those laws.
20. Language
Where the Charter of the French Language or other applicable law requires a French version of these Terms or related documents, we will provide the required French version before asking you to agree to be bound only by an English version. To the extent permitted by applicable law, after receiving any legally required French version, you expressly request and agree that these Terms and related documents may be drawn up and made available in English.
Les parties reconnaissent qu'elles ont exige que les presentes conditions et tous les documents connexes soient rediges en anglais, sous reserve de toute exigence obligatoire applicable en matiere de langue francaise.
21. Governing Law and Courts
These Terms are governed by the laws of Quebec and the federal laws of Canada applicable in Quebec, without regard to conflict-of-laws rules.
Subject to any mandatory consumer protection rights or other non-waivable rights you may have, you agree that the courts located in Montreal, Quebec, Canada will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.
22. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service, by email, or by other reasonable means. The updated Terms will be effective as of the effective date stated in the updated version, subject to applicable law.
If you do not agree to updated Terms, you must stop using the Service. Continued use of the Service after updated Terms take effect constitutes acceptance of the updated Terms, to the extent permitted by applicable law.
23. Miscellaneous
These Terms, together with any policies or order terms incorporated by reference, are the entire agreement between you and us regarding the Service. If any provision is found invalid or unenforceable, the remaining provisions will remain in effect, and the invalid or unenforceable provision will be enforced to the maximum extent permitted by law or replaced with an enforceable provision that most closely reflects its intent.
You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.
Our failure to enforce a provision is not a waiver. Headings are for convenience only. The words "including" and "includes" mean "including without limitation".
